{"id":80384,"date":"2017-08-04T11:31:57","date_gmt":"2017-08-04T11:31:57","guid":{"rendered":"http:\/\/usmalayali.com\/?p=80384"},"modified":"2023-09-14T15:51:34","modified_gmt":"2023-09-14T15:51:34","slug":"no-plans-to-make-external-investigators-report-public-says-infosys","status":"publish","type":"post","link":"https:\/\/usmalayali.com\/?p=80384","title":{"rendered":"No plans to make external investigator\u2019s report public says Infosys."},"content":{"rendered":"<h5><span style=\"color: #ff0000;\">Johnson Cherian.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">Infosys Ltd has declined a request from its most high-profile founder N R Narayana Murthy to make public the report of an external consultant appointed to look into the charges of misgovernance.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">Mr. Murthy, who was chairman of the company till 2014 and still holds 3.44 per cent stake (along with family members), had asked the full report by Gibson Dunn &amp; Crutcher to be made public.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">Infosys had claimed in June that the external expert had cleared the management of charges of wrongdoing, as was alleged by an anonymous complaint, after a detailed and extensive investigation.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">\u201cThe company does not plan to make the report public,\u201d Infosys said in a statement.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">The law firm had been mandated to probe the whistleblower allegations of CEO Vishal Sikka being paid excessive compensation in relation to the Panaya acquisition.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">\u201cThe summary finding statement of this investigation is also available on our website,\u201d Infosys said.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">The company explained that the investigation involved interviews of over 50 witnesses in India, the US and elsewhere, the review of company policies, Board minutes, public filings and internal documents.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">It also entailed investigation of \u201cmany thousands of internal emails and attachments\u201d and used forensic accounting experts to analyse technical and financial information, the company said.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">Infosys had ordered the probe following two anonymous letters in February that alleged wrongdoing in some of Infosys\u2019 acquisitions, improper contracting and CEO compensation as well as expenditures.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">In a statement issued on June 23, Infosys had said the probe had found no evidence of any kickbacks, inappropriate contracting or unreasonable expenses incurred on Sikka.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">Over the past few months, Infosys has drawn flak from some of the co-founders, including Mr. Murthy, on a number of occasions alleging corporate governance lapses at the firm.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">They had also raised questions about the severance package offered to two former Infosys executives.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">Infosys had also attached a copy of the letter that Gibson Dunn had written to its audit committee on findings of the investigation.<\/span><\/h5>\n<h5><span style=\"color: #000000;\">In February 2015, Infosys had announced buying Israeli automation firm, Panaya for USD 200 million (Rs 1,250 crore) in cash.<\/span><\/h5>\n","protected":false},"excerpt":{"rendered":"<p>Johnson Cherian.
